Annual General Meeting 2023

The Annual General Meeting of the Trust took place on Wednesday 15th February 2023 and was held online via Zoom video-conferencing.

Thank you to those members who either joined the meeting or submitted proxy voting forms in advance of the meeting.

All resolutions were passed on the night, as follows:

Resolution 1: To disapply the appointment of auditors for the year ending 31 August 2022
Resolution 2: To disapply the appointment of auditors for the year ending 31 August 2023

With member confirmation that the accounts for the year ending 31 August 2022 did not need to be audited, the accounts were then presented at the AGM. These are now available to view:

Resolution 7: That the appointment of Anthony Knight to the Board of WHUST be approved
Resolution 8: That the appointment of Rachel McFetridge to the Board of WHUST be approved
Resolution 9: That the appointment of Terry Reynolds to the Board of WHUST be approved
Resolution 10: That the appointment of David Shaer to the Board of WHUST be approved
Resolution 11: That the appointment of Susan Watson to the Board of WHUST be approved
Resolution 12: That the appointment of Chris Wheal to the Board of WHUST be approved


Following the AGM, the WHUST Board now consists of Nick Drane, Richard Elliott, Kevin Hind, Mark Inskipp, Anthony Knight, Rachel McFetridge, Terry Reynolds, David Shaer, Susan Watson and Chris Wheal.

Board positions will be agreed at the first meeting of the new Board.

We have published the WHUST Annual Report 2023, which gives a detailed account of the work being undertaken by the Trust over the past year.

As per the Convening Notice, issued on 11 January 2023, the Ironworks 1895 Supporters Society Limited, trading as the West Ham United Supporters’ Trust, will be holding its Annual General Meeting for shareholders on Wednesday 15 February at 19:00 via Zoom video conferencing.

This meeting is for current shareholders of the trust.
 
To attend the AGM via Zoom, you will need to register your attendance at:

before midday on Wednesday 15 February 2023, including your shareholder number included in the email sent to you.

All full members have been emailed today with a reminder of their membership numbers. 
 
It is important that eligible trust members either participate and vote at the Zoom session or that you use your proxy vote. So that's any one of:
    ~ Attend the virtual AGM on 15 February and vote in person 
    ~ Complete the online proxy form on the website by 18:00 on Monday 13 February 2023
    ~ Download and complete one of the proxy form versions below and return to us by email by 18:00 on Monday 13 February 2023

We urge you to cast your vote for the long term good of the trust.  
 
The business of the meeting covers statutory procedures and compliance with the rules of the society, rules of the Football Supporters’ Association and the requirements of the Co-operative and Community Benefit Societies Act 2014.  As such the agenda is strictly limited.

We intend to hold a General Meeting of members within the next two months where we can discuss issues that affect our members and the wider West Ham supporter fan base.  That will also be the chance for you to ask questions and help determine the trust’s future priorities.

CONVENING NOTICE

Under Rule 29 of the current Society Rules, the Trust Board has called an Annual General Meeting of Ironworks 1895 Supporters Society Limited for Wednesday 15th February 2023 and under Rule 36, is obliged to provide notice to members in writing of such a meeting. Please consider this written notice of the AGM.
 
The Annual General Meeting (AGM) of the Ironworks 1895 Supporters Society Limited (also known as the West Ham United Supporters’ Trust) (the “Trust”) will be held via Zoom Video Conference at 19:00 on Wednesday 15th February 2023.
 
The following areas of business only will be dealt with at the AGM:
     1. Report on Trust performance
     2. Review of examined accounts
     3. Election of the entire Trust Board
 
The Agenda for the meeting is as follows.
 
1. Chair's Introductions/ Report on Trust performance
 
2. Annual Accounts:
   ~ Resolution to disapply the requirement of the first annual accounts to be audited.
   ~ Review of examined accounts
   ~ Resolution to disapply the requirement of the current financial year’s accounts to be audited.
 
3. Resolution to elect Directors to the Board
   ~ Open questions
   ~ Online vote
 
Under Rule 61. At the first Annual General Meeting of the Society, all members of the Board of Directors shall stand down. A retiring Society Board member shall be eligible for re-election.
 
ELECTION OF UP TO TEN NEW BOARD MEMBERS TO TRUST BOARD:
   a) Review of candidate statements for Board election
   b) Voting on the night
   c) Counting of Proxy votes
   d) Results

Each candidate must have been a fully paid up member of the Trust when the AGM process began on 11th January 2023, must be 16 years  and must be supported by two proposers who are also fully paid up members of the Trust as of 11th January 2023.
 
All nomination forms must be returned by 1800 on Monday 25th January 2023 via email to secretary@whust.org
 
Candidate information will then be issued to full Trust members on 1st February 2023.
 
Full shareholding members will be able to vote on all relevant areas of business by proxy or attending the Zoom meeting. Full details will be included in communications on 1st February 2023 and posted on the Trust website:
